Kroger Co., the parent company of Fry’s Food Stores and other supermarkets, has identified 101 Arizona supermarkets it plans to divest in order to gain regulatory approval for its $24.6 billion acquisition of Albertsons Cos.

Kroger, the parent company of Fry’s Food Stores and other supermarkets, has identified more than 100 Arizona supermarkets it plans to divest in order to gain approval for its proposed $24.6 billion acquisition of Albertsons Cos.

The 101 supermarkets in Arizona — all Safeway and Albertsons locations — would be sold to C&S Wholesale Grocers, a company with few regional ties.

The divestments are intended to address regulators’ concerns that a combined Kroger-Albertsons company would have a concentrated stake in the grocery sector in Arizona and several other states. The proposed 101 stores to be divested in Arizona would be the second-most of any state, behind only 124 planned store transfers in Washington state, with Colorado in third place with 91 stores.

Regulators, including the Federal Trade Commission, Arizona Attorney General Kris Mayes and her colleagues in several other states, mostly Democratic officials, are trying to block the sale.

Kroger, which also owns several Smith’s supermarkets in northwestern Arizona, argues the merger is necessary to remain competitive with non-union rivals in the grocery industry, including Walmart, Amazon, Target and others.

About 20 Safeway or Albertsons stores within Phoenix city limits are slated to be transferred to C&S, which operates primarily in the eastern U.S. That’s in addition to 10 in Scottsdale and Mesa. Additionally, Kroger said it plans to dismantle two Arizona distribution centers, at 7600 W. Van Buren St. in Phoenix and at 400 S. 99th Ave. in Tolleson.

Kroger and Albertsons Cos. are among the largest employers in Arizona. Kroger had 20,200 employees in the state and Albertsons had 14,500 in last year’s Republic 100 report on the state’s largest employers.

If the deal goes through, Kroger will retain 34 Albertsons and Safeway locations in Arizona, plus the 131 Fry’s and Smith’s it already has in the state.
